Terms of Service

1. Acceptance of Terms

By accessing or using the Role Upgrade platform, website, Discord bot, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Role Upgrade ("we," "us," or "our"). You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service.

2. Description of Service

Role Upgrade is a subscription management platform that enables Discord server administrators ("Sellers") to create and sell subscription packages to their community members ("Customers"). The Service includes:

  • A web-based dashboard for managing subscriptions, packages, and analytics
  • A Discord bot that assigns and removes roles based on subscription status
  • Payment processing via third-party providers (Stripe and PayPal)
  • Checkout pages, customer portals, and related tools
  • API access for programmatic integration

3. Accounts

3.1 Registration

To use the Service, you must authenticate via Discord OAuth. By signing in, you authorize us to access your Discord account information as described in our Privacy Policy.

3.2 Account Responsibility

You are responsible for all activity that occurs under your account. You must not share your account credentials or grant unauthorized third parties access to your account. You agree to notify us immediately of any unauthorized use.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could harm other users or the platform.

4. Seller Terms

4.1 Seller Obligations

If you use the Service as a Seller, you agree to:

  • Provide accurate descriptions of the packages and benefits you offer
  • Fulfill the promises made to your Customers (e.g., role access, community perks)
  • Comply with all applicable laws, including consumer protection and tax regulations
  • Not use the Service to sell or distribute illegal content, hate speech, harassment tools, or any material that violates Discord's Terms of Service or Community Guidelines

4.2 Fees & Payments

Role Upgrade charges a platform fee on each transaction processed through the Service. Fees are detailed on our Pricing page and may be updated with notice. Payment processing fees charged by Stripe or PayPal are separate and governed by their respective terms.

4.3 Payouts

Seller payouts are handled through Stripe Connect or PayPal. Payout schedules and requirements are determined by the respective payment processor. We are not responsible for delays or issues caused by payment processors.

4.4 Taxes

Sellers are solely responsible for determining and remitting any applicable taxes on their sales. Role Upgrade does not provide tax advice and is not responsible for any Seller tax obligations.

5. Customer Terms

5.1 Purchases

When you purchase a subscription through the Service, you are entering into a transaction with the Seller, not with Role Upgrade. We facilitate the transaction but are not a party to the agreement between you and the Seller.

5.2 Subscriptions & Renewals

Subscriptions may renew automatically based on the billing interval set by the Seller. You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing period unless otherwise specified.

5.3 Refunds

Refund policies are set by individual Sellers. Role Upgrade may facilitate refunds on behalf of Sellers but is not obligated to issue refunds directly. Disputes should be raised with the Seller first.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts, bots, or scrapers to access the Service (except through our documented API)
  • Circumvent or manipulate subscription or payment systems to avoid fees
  • Impersonate another person or entity, or falsely represent your affiliation with any person or entity
  • Use the Service to distribute malware, spam, phishing content, or other harmful material

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by Role Upgrade and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

7.2 Your Content

You retain ownership of content you create through the Service (e.g., package descriptions, server branding). By using the Service, you grant us a limited license to display and transmit your content as necessary to provide the Service.

8. Third-Party Services

The Service integrates with third-party services including Discord, Stripe, and PayPal. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Discord Disclaimer

Role Upgrade is an independent platform and is not affiliated with, endorsed by, sponsored by, or officially connected to Discord Inc. in any way. "Discord," the Discord logo, and all related names, marks, and images are registered trademarks of their respective owners.

Our Service uses the Discord API in compliance with the Discord Developer Terms of Service and the Discord Developer Policy. Discord is not responsible for the Service, and any issues with the Service should be directed to us, not to Discord.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any loss of data, revenue, or profits arising from the use of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROLE UPGRADE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service

Our total aggregate liability for all claims arising from the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

12. Indemnification

You agree to indemnify and hold harmless Role Upgrade and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. If you continue to use the Service after changes take effect, you agree to the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
